Terms of Service

These Terms govern your use of the websites, software and services of Kiwan LLC, operating as Kiwan Group ("Kiwan", "we", "us"), including Diwan, Liwan and Iwan (the "Services"). By using the Services you agree to these Terms. If you use the Services for an organization, you accept these Terms on its behalf.

1. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Organization administrators control access for their users.

2. Subscriptions and payment

Paid plans are billed in advance per period according to the plan and number of users or employees selected. Fees are non-refundable except where required by law or stated in an order. We may change prices with at least 30 days' notice before your next billing period. Unpaid accounts may be suspended.

3. Your data

You own the data you put into the Services. You grant us the rights needed to host and process it to provide the Services, as described in our Privacy Policy. You are responsible for having the right to upload it, including notices to and consents from your employees and contacts. You can export your data while your account is active and for 30 days after it ends.

4. Acceptable use

You will not misuse the Services, including: breaking the law; sending spam or unsolicited messages; infringing others' rights; attempting to access other customers' data; interfering with or reverse engineering the Services; or reselling them without our permission.

5. Third-party services

Some features connect to third-party services (for example, WhatsApp or AI model providers). Your use of those services is also subject to their terms, and we are not responsible for them.

6. AI output

AI-generated answers may be inaccurate. You are responsible for reviewing them before relying on them, especially for payroll, legal or employment decisions.

7. Compliance and export

You will use the Services in compliance with applicable laws, including export control and sanctions laws. You may not use the Services if you are a person or entity with whom we are prohibited from doing business under such laws.

8. Intellectual property

The Services, software, and brands (including Kiwan, Diwan, Liwan and Iwan) are owned by Kiwan LLC. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Feedback you give us may be used without obligation.

9. Availability and changes

We work to keep the Services available but do not guarantee uninterrupted service. We may change or discontinue features, and will give reasonable notice of material changes that reduce functionality.

10. Termination

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that breach these Terms.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, TO THE EXTENT PERMITTED BY LAW.

12. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, KIWAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS OR DATA, AND OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Courts located in Wyoming have exclusive jurisdiction, unless applicable law requires otherwise.

14. Changes to these Terms

We may update these Terms. We will post the new version here and notify account owners of material changes before they take effect.
